Dealer Agreement

This Dealer Agreement describes the standard terms under which a dealership subscribes to and uses DLRBoost. Specific commercial terms may be set forth in an order form, subscription checkout, invoice, or written agreement between DLRBoost LLC and the dealership.
1. Parties
This agreement is between DLRBoost LLC, a Colorado limited liability company, and the dealership or dealer group subscribing to the DLRBoost platform.
2. Services
DLRBoost provides software and workflow tools for post-sale F&I/protection product follow-up, customer offer pages, product configuration, email workflows, online payment-link workflows, dealership reporting, and related support.

4. Term, Billing, and Setup Fee
Unless otherwise stated in a signed order form, subscriptions begin with a six-month initial term and are billed monthly in advance.
A one-time launch setup fee of $795 applies unless waived in writing by DLRBoost. The launch setup fee covers onboarding, dealership account configuration, product setup, branding setup, import support, email workflow setup/testing, checkout workflow testing, and go-live assistance.
The launch setup fee is due at signup, at checkout, or before onboarding begins, unless otherwise stated in an order form, invoice, or written agreement.
If dealer cancels or stops using the service before the end of the initial term, dealer remains responsible for all fees due through the end of the initial term. After the initial term, the subscription continues month-to-month unless cancelled with at least 30 days’ written notice.
5. Refunds and Cancellation
Fees are non-refundable except as required by law or expressly stated in an order form. DLRBoost does not provide refunds or credits for partial months, unused features, unused customer records, or lack of usage.
The launch setup fee is non-refundable once onboarding work has started, including account configuration, product setup, branding setup, import support, email workflow setup/testing, checkout workflow testing, or other launch-related work.
DLRBoost may suspend access for failed payment, misuse, suspected unlawful activity, security risk, or violation of this agreement.
6. Dealer Owns Customer Data
Dealer owns all dealership customer data submitted to or imported into DLRBoost. DLRBoost processes customer data on dealer’s behalf to provide the platform and related services.
7. Dealer Responsibilities
Dealer is responsible for:
- Ensuring it has the lawful right to collect, upload, import, use, and contact customers through DLRBoost.
- Ensuring product information, pricing, coverage descriptions, eligibility rules, and disclosures are accurate.
- Honoring customer opt-outs and maintaining lawful communication practices.
- Generating, rating, preparing, and sending any required product contracts or e-signature documents.
- Handling product administration, coverage questions, claims, cancellations, and customer service obligations.
8. DLRBoost Role
DLRBoost is a software and workflow provider only. DLRBoost is not the seller, obligor, administrator, insurer, warrantor, lender, broker, legal advisor, tax advisor, or F&I product provider for any protection product offered by dealer.
9. Payment Processing
Payment processing is handled by Stripe or another third-party payment processor. DLRBoost does not store full payment card numbers and is not responsible for third-party processor outages, delays, disputes, chargebacks, or processing decisions outside DLRBoost’s reasonable control.
10. Email Delivery
Email delivery is handled through SendGrid or similar infrastructure. DLRBoost does not guarantee delivery, opens, clicks, conversions, or successful purchase completion.
11. Data Processing
DLRBoost processes dealer customer data on behalf of the dealer for the purpose of providing the services. DLRBoost may use subprocessors, including Stripe, SendGrid, Supabase, Render, Google Workspace, Vimeo, and similar vendors.
12. Support
Support is available by email at support@dlrboost.com. Standard support requests have a target response time of one business day. Urgent import, login, or payment-link issues have a target response time of four business hours during normal business hours. Response times are targets, not guarantees.
13. No Guarantee of Results
DLRBoost does not guarantee revenue recovery, F&I product sales, customer purchases, payment completion, email deliverability, customer engagement, or specific financial results.
14. Offboarding
Upon termination, dealer may request export or deletion of its customer data, subject to legal, security, backup, fraud-prevention, accounting, and operational retention needs.
15. Limitation of Liability
To the maximum extent permitted by law, DLRBoost will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption.
